Polish Z.o.o. Company Incorporation

Basic Data:

Poland is one of the largest countries in the EU. With its nearly 40 million strong population, it is the fastest growing economy in Central Europe and thus an ideal country to do business. Another advantage of Poland is its easy VAT registration.

The most common type of Polish company is a limited liability company (Z.o.o.). Managing directors or shareholders can be foreigners not residing in Poland or a company that is not headquartered in the Polish territory. The process of incorporating a company in Poland usually requires 4 to 6 weeks (only 1 day in the case of shelf company). Depending on the additional services you order, prices start at €1,100. 

To incorporate a company, you will only need to come and see us once in our office. As an alternative, you can also choose to incorporate your company remotely via mail. In such a case, all documents will be delivered by an air mail courier.

What we will need you to provide in order to incorporate a Polish company:

• New company name
• Sector and business activity
• Copy of ID or passport or extract from the Commercial Register of all managing directors and shareholders
• Managers’ criminal records extract from their country of origin
• Minimum capital contribution of PLN 5,000 (app. €1,200)

Opening a Bank Account

With a one-time power of attorney granted by your managing director, we will open a business bank account at UniCredit Bank for you. It is a euro and PLN bank account. You can manage the account via internet banking.  

Virtual Office

We offer virtual offices in 6 locations across Poland: Warsaw, Krakow, Wroclaw, Katowice, Cieszyn and Kudow. The price of virtual office includes mail forwarding to an address of your choice in Poland or abroad.  

Accounting Services

Polish companies are subject to annual tax returns. We offer accounting services in cooperation with a renowned local accounting firm. Communication can take place in English, Polish or Czech.  

Nominee Services

We arrange for nominee director or shareholder upon request.
