Slovakia is situated in central Europe, neighbouring the Czech Republic, Austria, Hungary, Ukraine and Poland. Its geographical situation provides a strategic advantage for doing business. The most popular type of company is a limited liability company (s.r.o.).
If several shareholders are the company founding members, they have to make a capital contribution of €750 each.
Managing directors and managers can be foreigners not resident in the Slovak territory. The registered capital has to amount to at least €5,000 in total. Incorporation usually takes 3 to 4 weeks.
Upon request, we can also assit you in filing a voluntary VAT registration. In Slovakia, VAT amounts to 20%. Nevertheless, you have to bear in mind that the process is lengthy (it takes 30 days or more) and that the tax authority decides upon the registration fee on an individual basis. In the case of new legal entities with no track record, this fee amounts to app. €2,000.
You will also need to provide a business plan, a business bank account, accounting and, if need be, issued invoices and client or supplier contracts. There is a new regulation that impacts doing business in Slovakia: the legal entity license fee of €960 that is chargable after the first year of operation. As an alternative, you can incorporate your company remotely by mail, in which case all documents will be delivered by a courier.
We will advise you on how to open a bank account in a Slovak bank and assist you in doing so. We recommend opening an account with Tatrabanka. Depending on the financial institution you choose, you can either open a bank account with our assistance or via one-time power of attorney. Bank accounts are in euros and you can manage them via internet banking.
