Czech Limited Liability Shelf Companies (LLC/s.r.o.)

Limited liability shelf company (s.r.o.) is a company incorporated with the purpose of resale. It has never done business and is 100% liability-free. LLC (s.r.o.) is the most common type of commercial firm in the Czech Republic.  

Shelf LLC (s.r.o.)

• Has never done business and has no debts or obligations

• Is registered in the Commercial Register and has its own identification number (IČ)

• Has 100% of its registered capital paid (the client does not have to testify his ownership of the registered capital)

• Is registered for main trades (see the list of 80 activities included in unqualified trades) and authorized to rent premises

• Is registered for corporate income tax

• Has at least 1 shareholder (a shareholder can be a foreign citizen or a foreign company)

What is the process for purchasing a company?

Foreign clients can realize the company purchase by mail and don’t have to travel to the Czech Republic. An express courier will deliver all documents in a few days. However, you can also come in person to one of our branches in the Czech Republic, see contact information.

• Organizing a general meeting and election of new company managers

• Preparing all documents, verifying required documents and signatures

• Submitting a proposal for changes to the Commercial Trade Register

• Optional: Providing virtual office and mail forwarding by post or by email for extra charge

• Optional: Accounting services and representation before authorities for extra charge

• Optional: Administration support when opening a bank account for extra charge

You will receive the following documents: 

• 2 copies of buying contract on transfer of 100% of the company's shares to the client

• 1 copy of the articles of association in the form of notary's certificate of acknowledgement

• 1 abstract from the Commercial Register

• 1 abstract from the Trade Register

• 1 current company balance sheet as of the day of sale
