Czech shelf European company (SE)

European company is founded on the basis of European law. Therefore, European companies operate in the same manner in each EU member state and foreign partners are familiar with this type of company.

A shelf European company (SE) is a company which:

• Has never done business and has no debts or obligations

• Has 100% of its €120,000 registered capital paid

• Bears 100 shares in paper form (can be modified)

• Is registered in the Commercial Register and has its own identification number (IČ)

• Is registered for unqualified trades (see the list of 78 activities included in unqualified trades) and authorized to rent premises

• Is registered for corporate income tax

• Minimum number of shareholders: 1

What is the process for purchasing a company?

To buy a company, foreign clients don’t have to travel to the Czech Republic. The company purchase can be done by mail; an express courier will deliver all documents in a few days. You can also come and see us at any of our branches in the Czech Republic, see contact.

Services include: 

• Organizing general meeting and election of new company managers

• Preparing all documents, verifying required documents and signatures

• Submitting a proposal for changes in the Commercial Register

• Optional: Providing for a virtual office and mail forwarding by post or by email

• Optional: Accounting services and representation before authorities

You will receive the following documents: 

• 2 contracts on transfer of 100% of the company's shares to the client

• 100 shares in paper form

• 1 copy of the articles of association in the form of notary's certificate of acknowledgement

• 1 abstract from the Commercial Register

• 1 abstract from the Trade Register

• 1 current company balance sheet as of the day of sale
